Effective Date: September 1, 2026
These Terms of Service (the “Terms”) govern access to and use of the websites, portals, software, services, communications, filing workflows, document-processing tools, referral program, and related offerings provided under the Comply45 brand (collectively, the “Services”). The Services are provided by Comply45, with an address at 8876 Spanish Ridge Ave, Ste 204, Las Vegas, NV 89148 (“Comply45,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, purchasing credits, submitting a filing request, applying to or participating in the referral partner program, or otherwise interacting with the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. WHO THESE TERMS COVER
These Terms apply, as relevant, to all persons and entities that access or participate in the Comply45 ecosystem, including:
• website visitors and prospective customers;
• importing companies, compliance teams, and other customers purchasing or using filing credits;
• authorized users acting for a customer;
• referral partner applicants and approved referral partners;
• customs brokers and other recipients designated by a customer;
• laboratories, manufacturers, suppliers, testing entities, and other third parties whose reports, certificates, product data, or contact information are submitted through the Services;
• individuals who receive or respond to Comply45 communications; and
• any other person who accesses a Comply45 portal or uses the Services.
Separate written agreements may apply to particular services or relationships. If there is a direct conflict between these Terms and a signed agreement with Comply45, the signed agreement controls for that conflict.
2. WHAT COMPLY45 DOES
Comply45 provides technology-enabled compliance-processing services designed to help customers prepare, review, certify, submit, track, and retain information associated with U.S. Consumer Product Safety Commission (“CPSC”) eFiling and related compliance workflows. The Services may include:
• receiving and organizing certificates, laboratory reports, test reports, product information, manufacturer or supplier information, shipment references, and other source materials;
• using software, automated systems, artificial intelligence, rules-based logic, and human review to extract, classify, compare, and prepare information;
• evaluating whether an existing certificate or filing may remain usable or whether a new or updated certificate appears to be required;
• preparing filing data and review materials for customer approval;
• presenting a specific filing version for customer review and certification;
• transmitting customer-approved filing information to CPSC or other authorized recipients;
• receiving and storing resulting identifiers, statuses, acknowledgments, documents, or other records;
• delivering records to customers and, where selected, designated brokers or other authorized recipients;
• maintaining audit records of filing versions, approvals, attestations, communications, and transactions; and
• providing related account, billing, referral, and support functions.
Comply45 may use employees, contractors, service providers, automated agents, and artificial-intelligence-assisted workflows to perform the Services.
3. WHAT COMPLY45 DOES NOT DO
Unless expressly stated in a separate written agreement, Comply45 is not:
• an accredited testing laboratory;
• a product-certification body;
• a customs broker;
• a freight forwarder;
• a government agency;
• the manufacturer, importer of record, private labeler, or legal certifier of your products; or
• your law firm or legal counsel.
Comply45 does not independently test products, verify laboratory performance, guarantee product conformity, provide legal opinions, guarantee admissibility of goods, or guarantee acceptance of any filing by CPSC, U.S. Customs and Border Protection, a broker, carrier, port, court, regulator, or other third party.
Information made available through the Services is operational and compliance-processing support, not legal advice. You are responsible for obtaining legal, customs, tax, product-safety, or other professional advice when appropriate.
4. CUSTOMER RESPONSIBILITIES
You are responsible for the truth, completeness, authenticity, and legal sufficiency of the information and documents you provide or authorize others to provide. This includes, without limitation, product descriptions, SKU or item information, laboratory reports, test reports, manufacturer and supplier information, dates, addresses, standards, shipment references, certificates, and representations concerning product identity or material changes.
You must:
• provide accurate and complete source information;
• promptly correct known errors or omissions;
• ensure that you have the right to submit all documents and information provided to Comply45;
• maintain your own product-safety and regulatory compliance program;
• determine whether your products comply with applicable laws and standards;
• review the filing information presented by Comply45 before certification;
• ensure that the individual certifying a filing is authorized to do so; and
• maintain any records independently required of you by law.
Comply45 may identify apparent inconsistencies, missing information, or potential issues, but that does not shift your legal responsibility for the underlying products or certifications to Comply45.
5. CUSTOMER REVIEW, CERTIFICATION, AND AUTHORIZATION
When Comply45 determines that a new or updated filing is appropriate, Comply45 may present a structured filing record and related documents for your review. The record will have an associated version or equivalent identifier.
By selecting the applicable certification or approval control, you:
• confirm that you reviewed the information presented;
• certify that the information is true, accurate, and complete to the best of your knowledge;
• confirm that you are authorized to act for the applicable customer or certifying entity;
• authorize Comply45 to submit that exact approved version to CPSC or another authorized recipient; and
• consent to Comply45 maintaining an electronic record of the approved version, attestation text, user identity, account, timestamp, and related audit evidence.
If the filing data materially changes after certification, Comply45 may invalidate the prior certification and require a new review and certification before submission.
6. CPSC PRODUCT COLLECTION ACCESS AND DELEGATED AUTHORITY
To perform certain Services, you may be asked to invite Comply45 or a Comply45-designated account to a CPSC Product Collection or similar CPSC environment with permissions necessary to administer, review, certify, or submit filings.
By granting such access, you authorize Comply45 to act within the scope of the permissions you grant for the purpose of providing the Services. This may include accepting invitations, accessing the relevant Product Collection, generating or using credentials, generating or rotating API tokens or secrets, checking credential expiration, retrieving filing information, submitting customer-approved filings, and receiving filing results.
You remain responsible for the customer account, the authority granted, and the legal certification made in connection with your products. You may revoke Comply45’s access, but doing so may prevent or delay performance of the Services.
7. AUTOMATION, ARTIFICIAL INTELLIGENCE, AND HUMAN REVIEW
The Services may use automated extraction, machine learning, artificial intelligence, rules-based logic, and software agents to process documents, compare product data, prepare filings, identify missing information, draft communications, and support workflow decisions.
Automated systems may make mistakes. Comply45 does not represent that automated extraction or analysis will always be error-free. The Services are designed to include customer review and, where applicable, human or procedural controls before consequential filing actions. You agree not to rely on an automated output as a substitute for your own review where the Services request or permit such review.
8. DOCUMENTS, RECORDS, AND COMMUNICATIONS
You authorize Comply45 to receive, copy, convert, process, transmit, archive, and store documents and data reasonably necessary to provide the Services. This may include certificates, test reports, laboratory reports, product records, emails, broker details, contact information, PDFs, spreadsheets, images, and CPSC filing records.
Documents may be made available through authenticated portals, expiring links, cloud-storage systems, email, or other reasonable delivery methods. You are responsible for safeguarding any links, credentials, and exported records provided to you.
You consent to transact electronically and to receive legally relevant notices, approvals, receipts, records, and other communications electronically.
9. BROKER AND THIRD-PARTY DELIVERY
If you instruct Comply45 to send records to a customs broker, freight provider, consultant, employee, contractor, or other third party, you represent that you are authorized to make that disclosure and provide the recipient’s contact information.
Comply45 may rely on the delivery instructions in your account. Comply45 is not responsible for the recipient’s systems, security, errors, delays, misuse, or further handling of the information after delivery.
10. CREDITS, PRICING, AND PURCHASES
Comply45 may offer prepaid filing credits or other usage-based pricing. Unless otherwise stated at the time of purchase:
• credits are prepaid service units, not banked funds or stored monetary value;
• credits have no cash value and are not transferable between unrelated customers without Comply45’s written approval;
• credits do not expire;
• one credit is consumed when the customer reviews and certifies a new or updated filing and authorizes Comply45 to submit that certified version;
• a request resolved because an existing certificate remains valid will not consume a filing credit unless otherwise clearly disclosed; and
• pricing may change prospectively, but previously purchased credits remain subject to the terms in effect when purchased unless required otherwise by law.
A credit is not consumed when you upload documents, when Comply45 reviews a request, while additional information is being requested, or when Comply45 determines that an existing certificate remains valid. If a credit is consumed and Comply45 is unable to submit the certified filing solely because of an error within Comply45’s systems or operations, Comply45 may restore the credit or provide an equivalent account adjustment.
11. AUTO-REPLENISH
If Comply45 offers and you enable auto-replenish, you authorize Comply45 and its payment processor to charge your stored payment method for the selected credit package when your balance reaches the disclosed threshold. You may disable auto-replenish prospectively through the available account controls. Charges already initiated before cancellation may still complete.
12. PAYMENTS, TAXES, REFUNDS, AND ADJUSTMENTS
Payments are processed by third-party payment providers. You authorize Comply45 and its providers to process charges, refunds, reversals, and payment-related data as necessary.
You are responsible for applicable taxes, duties, fees, and similar governmental charges, except taxes imposed on Comply45’s net income.
Except where required by law or expressly stated otherwise, purchases are non-refundable once Services have been materially performed or credits have been consumed. Comply45 may issue refunds, credits, or account adjustments in its discretion. Administrative corrections may be recorded as offsetting ledger entries rather than edits to historical transaction records.
13. ACCOUNTS AND SECURITY
You must provide accurate registration information and maintain reasonable security over email accounts, authentication links, credentials, devices, and authorized users. You are responsible for activity performed through your account unless caused by Comply45’s breach of its own obligations.
You must promptly notify Comply45 at hello+privacy@comply45.com if you suspect unauthorized access.
Comply45 may suspend access when it reasonably believes there is fraud, abuse, a security risk, nonpayment, legal exposure, or misuse of the Services.
14. ACCEPTABLE USE
You may not use the Services to:
• submit knowingly false, forged, altered, fraudulent, or misleading compliance records;
• evade product-safety, customs, sanctions, export-control, or other legal requirements;
• impersonate another person or entity;
• access another customer’s data without authorization;
• probe, scan, disrupt, reverse engineer, or circumvent security controls except as permitted by law;
• introduce malicious code;
• overload or misuse automated interfaces;
• scrape or resell the Services without written permission; or
• use Comply45 to facilitate unlawful conduct.
15. REFERRAL PARTNER PROGRAM
Referral partners may apply through Comply45 and, if approved, receive a referral code or other attribution method. Unless otherwise stated in writing, the standard program may provide a discount to a referred customer on its first qualifying purchase and a commission to the partner based on qualifying net amounts actually collected by Comply45 during the applicable commission period.
Partner-specific commercial terms shown in the partner portal or approval materials govern that partner. Historical commission terms associated with a completed purchase are not retroactively rewritten merely because future partner terms change.
Referral partners must:
• market Comply45 truthfully and professionally;
• not make unauthorized legal, regulatory, performance, savings, acceptance, or governmental-endorsement claims;
• not imply that they are employees, agents, attorneys, brokers, laboratories, or authorized representatives of Comply45 unless separately agreed;
• comply with applicable advertising, endorsement, anti-spam, privacy, and consumer-protection laws; and
• disclose material referral compensation where required.
Commissions may be withheld or reversed for refunded, fraudulent, reversed, duplicated, self-dealing, or otherwise non-qualifying transactions. Comply45 may deactivate a code or terminate participation prospectively for abuse, misrepresentation, legal risk, or business reasons.
The partner portal is confidential to the partner. It may display the partner’s code, commercial terms, aggregate referral counts, commission lines, earned amounts, paid amounts, and outstanding amounts. It does not entitle the partner to customer filing data or other confidential customer information.
16. REFERRAL APPLICATIONS
Submitting a referral application does not guarantee acceptance. Comply45 may approve or decline applications in its discretion, subject to applicable law. Information submitted in an application may be used to evaluate, administer, communicate about, and document the referral relationship.
17. INTELLECTUAL PROPERTY
Comply45 and its licensors retain all rights in the Services, including software, workflows, interfaces, templates, databases, branding, content, designs, automation logic, and documentation, excluding customer-owned source materials and third-party materials.
You retain ownership of your source documents and data. You grant Comply45 a nonexclusive, worldwide, royalty-free license to host, copy, convert, process, analyze, transmit, display, and create technical derivatives of those materials solely as reasonably necessary to provide, secure, support, improve, or document the Services, subject to the Privacy Policy and applicable confidentiality obligations.
Feedback you voluntarily provide may be used by Comply45 without restriction, provided Comply45 does not identify you publicly without permission.
18. CONFIDENTIALITY
Comply45 will use commercially reasonable measures to protect nonpublic customer information and will use such information for providing, securing, administering, supporting, and improving the Services; complying with law; and other purposes described in the Privacy Policy.
Confidentiality obligations do not apply to information that is or becomes public through no breach by Comply45, was lawfully known without restriction, is independently developed, or is lawfully obtained from another source without confidentiality obligations.
Comply45 may disclose information to service providers, CPSC, designated brokers or recipients, legal advisers, auditors, insurers, financing sources under appropriate confidentiality restrictions, or as required by law.
19. SERVICE PROVIDERS AND THIRD-PARTY SYSTEMS
The Services depend on third-party platforms, including cloud hosting, database, authentication, payment processing, email, document storage, automation, analytics, and government systems. Comply45 is not responsible for outages, changes, errors, delays, or security incidents caused solely by third parties beyond Comply45’s reasonable control, although Comply45 will use reasonable efforts to manage its vendors and restore service.
Third-party services may be subject to their own terms and privacy policies.
20. SERVICE LEVELS AND “60-SECOND” OR SIMILAR CLAIMS
If Comply45 advertises a preparation-time commitment, including a “60-Second Filing Guarantee” or similar wording, that commitment refers only to the specific scope disclosed with the offer, such as preparing a complete and valid request for customer certification within the stated period after all required information has been received and validated. It does not guarantee CPSC processing time, government acceptance, customs clearance, broker action, carrier action, or final regulatory outcome.
21. NO WARRANTY OF REGULATORY OUTCOME
CPSC, Customs, brokers, laboratories, carriers, ports, and other parties operate independently of Comply45. Requirements and interpretations may change. Comply45 does not warrant that any filing will be accepted, that a product is compliant, that a shipment will clear, or that a regulator will agree with a particular classification, interpretation, certificate, or conclusion.
22. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” COMPLY45 DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
COMPLY45 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF ALL SECURITY VULNERABILITIES, OR THAT AUTOMATED OR AI-ASSISTED OUTPUTS WILL ALWAYS BE ACCURATE.
23. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLY45 AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS; LOST SALES; LOST BUSINESS OPPORTUNITY; LOSS OF GOODWILL; LOSS OR CORRUPTION OF DATA; DEMURRAGE, STORAGE, PORT, CARRIER, BROKER, OR CUSTOMS CHARGES; OR DELAYS IN IMPORTATION OR CLEARANCE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLY45’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO COMPLY45 FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
The foregoing limitations do not apply to liability that cannot lawfully be limited.
24. INDEMNIFICATION
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Comply45 and its affiliates, owners, officers, employees, contractors, and agents from claims, losses, liabilities, penalties, costs, and reasonable attorneys’ fees arising from or relating to:
• your products or their manufacture, importation, labeling, testing, sale, use, or compliance;
• false, inaccurate, incomplete, fraudulent, or unauthorized information you or your representatives provide;
• your certification or authorization of a filing;
• your violation of law or these Terms;
• your infringement or misuse of third-party rights; or
• your instructions to disclose information to a broker or other third party.
This section does not require indemnification for Comply45’s gross negligence, willful misconduct, or other liability that cannot lawfully be shifted.
25. SUSPENSION, ARCHIVAL, AND TERMINATION
You may stop using the Services at any time. Comply45 may suspend or terminate access for material breach, nonpayment, fraud, abuse, security risk, legal or regulatory concerns, or discontinuation of a Service.
Account deletion or archival does not necessarily erase records that Comply45 must retain for legal, audit, payment, dispute, fraud-prevention, security, regulatory, or legitimate business purposes. Historical filing, certification, billing, referral, and ledger records may remain preserved as described in the Privacy Policy.
26. CHANGES TO THE SERVICES OR TERMS
Comply45 may modify the Services and these Terms. Material changes will be communicated through the website, account, email, or another reasonable method. Unless a different date is stated, revised Terms apply prospectively when effective. Continued use after the effective date constitutes acceptance where permitted by law.
27. GOVERNING LAW; DISPUTES
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the formation, interpretation, breach, termination, enforceability, or validity of these Terms, will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Commercial Arbitration Rules, except that either party may bring an individual action in small claims court if the claim qualifies. The seat and place of arbitration will be Clark County, Nevada. Judgment on the award may be entered in any court of competent jurisdiction.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. NEITHER PARTY MAY PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM.
Nothing prevents either party from seeking temporary injunctive relief for misuse of intellectual property, confidential information, or unauthorized system access.
28. U.S. GOVERNMENT AND REGULATORY REQUESTS
Comply45 may disclose records or information when reasonably necessary to comply with subpoenas, court orders, governmental requests, applicable law, or regulatory obligations. Where legally permitted and appropriate, Comply45 may notify the affected customer.
29. EXPORT CONTROLS, SANCTIONS, AND ELIGIBILITY
You may not use the Services in violation of U.S. export-control, sanctions, anti-boycott, or other trade laws. You represent that your use of the Services is lawful and that you are not prohibited from receiving the Services under applicable law.
30. MISCELLANEOUS
These Terms and any incorporated policies or applicable written order form constitute the agreement between you and Comply45 concerning the Services unless superseded by a signed agreement.
You may not assign these Terms without Comply45’s consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. Comply45 may assign these Terms to an affiliate or successor.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience only.
